1. Acceptance of Terms

1.1 Binding Agreement
These Terms of Service (“Terms”) form a binding contract between you (“you” or “Member”) and WeMillionaires (“WeMillionaires,” “we,” “our,” or “us”) regarding your access to and use of:

  • Our website and web application;
  • Our membership SaaS platform and tools;
  • Our eDirectory listings marketplace;
  • Our commission and residual income systems;
  • Our course and learning management system (LMS);
  • Our scheduling and paid bookings tools;
  • Our AI Video Builder (powered by third-party machine learning);
  • Our AI-generated text content features; and
  • Any other products, services, features, and content we make available (collectively, the “Services”).

By creating an account, clicking “I Agree,” subscribing to any membership tier, or accessing or using the Services in any way, you acknowledge that:

  • You have read, understood, and agree to be bound by these Terms; and
  • You consent to receive communications from us electronically.

If you do not agree to these Terms, you must not access or use the Services.

1.2 Additional Terms & Policies
Your use of the Services is also subject to:

  • Our Privacy Policy;
  • Any MLM / Compensation Plan, Earnings Disclaimer, or other program-specific documents we make available;
  • Any additional terms we present to you for specific features (e.g., courses, events, promotions, or partner integrations).

Those documents are incorporated into these Terms by reference. If there is a conflict between these Terms and any additional terms, the additional terms will control for that specific service or feature.

1.3 Business Use & Independent Contractors
Unless we explicitly state otherwise in writing, you are using the Services as an independent business or individual user, not as an employee, agent, franchisee, or partner of WeMillionaires. Nothing in these Terms creates an employment, franchise, joint venture, or partnership relationship between you and WeMillionaires.

2. Eligibility

2.1 Minimum Age
You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to create an account or use the Services. By using the Services, you represent and warrant that you meet this age requirement.

2.2 Legal Capacity
You must have the full legal right, power, and authority to enter into and comply with these Terms on your own behalf or on behalf of the entity you represent. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms and “you” will refer to that entity.

2.3 Restricted Jurisdictions
You may not use the Services, create an account, or participate in any commission or MLM-related programs if:

  • You are located in, a resident of, or a national of any jurisdiction subject to U.S. sanctions or where our Services are not offered; or
  • You are on any U.S. government list of restricted or prohibited parties.

At this time, WeMillionaires does not offer services and will block signup from the following jurisdictions (collectively, “Restricted Jurisdictions”):

  • Cuba
  • Iran
  • North Korea
  • Syria
  • Russia
  • Belarus
  • Myanmar
  • Venezuela
  • Sudan
  • South Sudan
  • Afghanistan
  • Crimea region
  • Donetsk and Luhansk regions
  • Any other jurisdiction subject to U.S. OFAC sanctions (as updated from time to time)

You are responsible for ensuring that using the Services complies with all laws and regulations applicable to you.

2.4 Compliance with Laws and MLM Rules
You may only use the Services and participate in any MLM or commission arrangements where such activities are legal and not restricted by applicable law. If your jurisdiction prohibits multi-level marketing, referral compensation, or similar models, you must not use the MLM or commission-related aspects of the Services.

3. Account Registration & Security

3.1 Account Creation
To access most features of the Services, you must create an account and provide accurate and complete information, including your name, email address, payment information, and any other information we reasonably request.

3.2 Account Information Accuracy
You agree to:

  • Provide true, accurate, current, and complete registration information; and
  • Maintain and promptly update your information to keep it true, accurate, current, and complete.

We may suspend or terminate your account if any information you provide is or becomes false, inaccurate, not current, or incomplete.

3.3 Account Credentials & Security
You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • Restricting access to your devices and account; and
  • All activities that occur under your account, whether or not authorized by you.

You must immediately notify us at info@wemillionaires.com if you suspect any unauthorized access, use, or security breach involving your account.

3.4 One Account Per Individual
Unless we approve otherwise in writing, you may maintain only one WeMillionaires account per individual. You must not:

  • Create accounts on behalf of others without authorization;
  • Share, sell, or transfer your account; or
  • Use another person’s account without permission.

3.5 Verification & KYC
We may require you to verify your identity or provide additional information (including government-issued identification, tax information, or proof of address) to:

  • Comply with legal obligations;
  • Set up or receive MLM or commission payments; or
  • Prevent fraud and abuse.

If you fail to provide required information, we may withhold or delay payments and/or suspend or terminate your account.

4. Membership Tiers & Subscription Billing

4.1 Membership Tiers
WeMillionaires offers three primary membership tiers (names subject to branding updates):

  1. Ascend
  2. Growth
  3. Founder

Each tier may offer different levels of access to:

  • Platform features and tools;
  • eDirectory listing capabilities;
  • Course and LMS features;
  • Scheduling and paid bookings tools;
  • AI Video Builder and AI text features;
  • MLM / commission eligibility and rates;
  • Support and community resources.

Details of each tier, including pricing and benefits, are described on our website or within your account dashboard and may be updated from time to time.

4.2 Subscription Billing via Stripe
We use Stripe or other third-party payment processors to manage subscriptions and payments. By subscribing to any membership tier, you authorize WeMillionaires and our payment processor(s) to:

  • Charge your payment method for the applicable subscription fees; and
  • Automatically renew your subscription at the then-current rate, unless and until you cancel as described below.

4.3 Auto-Renewal

  • Your subscription will automatically renew at the end of each billing period (e.g., monthly or annually), unless you cancel before the renewal date.
  • By subscribing, you consent to automatic recurring charges to your selected payment method without requiring additional authorization for each renewal, until you cancel.

4.4 Cancellation by You

  • You may cancel your subscription at any time through your account settings or by following the instructions provided in your account dashboard.
  • Cancellation will take effect at the end of your current billing period. You will continue to have access to your paid features until that date.
  • We do not provide pro-rated refunds or credits for partial billing periods unless required by law or expressly stated in writing.

4.5 Price Changes & 30-Day Notice

  • We may modify subscription fees, introduce new charges, or change the benefits associated with any membership tier.
  • We will provide at least 30 days’ advance notice of any material price increases by email, in-app notice, or by posting on our website.
  • If you do not agree to a price change, you must cancel your subscription before the new price goes into effect. Continued use after the effective date of the change constitutes your acceptance of the new pricing.

4.6 Taxes

  • Subscription fees are exclusive of any sales, use, value-added, or other taxes or duties.
  • You are responsible for paying all applicable taxes related to your subscription and use of the Services.
  • We may collect and remit such taxes where required by law.

4.7 Payment Failures & Suspension

  • If your payment method fails or we are unable to collect fees when due, we may, without liability:
    • Suspend or downgrade your account;
    • Restrict access to paid features; and/or
    • Terminate your subscription.
  • You remain responsible for any amounts due, plus any applicable late fees or charges imposed by your payment provider.

5. Acceptable Use

5.1 General Conduct
You agree to use the Services in a lawful, ethical, and respectful manner and to comply with all applicable laws, regulations, and these Terms.

5.2 Prohibited Activities
You must not, and must not permit or encourage any third party to:

  1. Unlawful or Harmful Conduct

    • Use the Services for any illegal, fraudulent, or harmful purpose;
    • Promote, plan, or engage in violence, harassment, discrimination, or hate;
    • Violate any applicable laws, regulations, or third-party rights (including privacy and intellectual property rights).

  2. Fraud & Misrepresentation

    • Engage in identity theft, payment fraud, chargeback abuse, or other deceptive practices;
    • Make false or misleading statements about earnings, business opportunities, or the WeMillionaires platform;
    • Use fake accounts, bots, or other automated means to manipulate metrics, referrals, commissions, or search results.

  3. Scraping & Unauthorized Access

    • Access or search the Services by any means other than our publicly supported interfaces;
    • Use web scraping, data mining, robots, spiders, or similar tools to extract data without our express written consent;
    • Attempt to circumvent or defeat security or access controls;
    • Probe, scan, or test the vulnerability of the Services or network.

  4. Unlawful MLM / Pyramid Activity

    • Operate, promote, or participate in a pyramid scheme, chain letter, or other illegal or deceptive recruitment-based scheme;
    • Represent the WeMillionaires platform as a guaranteed income program or as a get‑rich‑quick opportunity;
    • Offer or promote compensation or returns that are primarily based on recruitment rather than genuine product or service value.

  5. Spam & Unsolicited Communications

    • Send unsolicited or bulk commercial messages (spam) using our Services or your membership;
    • Violate any applicable anti-spam laws (such as CAN-SPAM, GDPR, CASL, or similar laws) in your marketing or outreach;
    • Harvest email addresses or other contact information without consent.

  6. Content Standards

    • Upload, share, or create content that is defamatory, obscene, pornographic, exploitative, incites violence, or otherwise inappropriate;
    • Upload viruses, malware, or other harmful code;
    • Infringe or misappropriate any third-party intellectual property or proprietary rights.

5.3 Enforcement
We reserve the right, but not the obligation, to:

  • Monitor your use of the Services;
  • Remove or disable access to any content or account we, in our sole discretion, consider to be in violation of these Terms or harmful to the Services or other users;
  • Suspend or terminate your account and/or MLM participation for violations of this Section 5 or any applicable law.

6. Intellectual Property

6.1 Our Ownership of the Platform
WeMillionaires and its licensors own all rights, title, and interest in and to the Services, including:

  • Software, code, databases, and infrastructure;
  • User interfaces, designs, and layouts;
  • Logos, trademarks, service marks, and branding;
  • Text, graphics, videos, and other content we create or supply;
  • Any improvements, modifications, or derivative works of the foregoing.

Except for the limited rights granted to you under these Terms, we reserve all rights in and to the Services.

6.2 Your License to Use the Services
Subject to your compliance with these Terms and any applicable payment obligations, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal or internal business purposes.

You may not:

  • Copy, modify, distribute, sell, lease, or create derivative works of the Services;
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law; or
  • Remove or alter any proprietary notices or branding.

6.3 Member-Generated Content
“Member Content” means any content, data, text, images, videos, listings, courses, or other materials you upload, post, create, or otherwise make available through the Services, including content created with the assistance of our AI tools.

You retain ownership of your Member Content, subject to the license granted in Section 6.4.

6.4 License You Grant to WeMillionaires
By submitting or making Member Content available through the Services, you grant WeMillionaires a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to:

  • Host, store, reproduce, display, perform, adapt, modify (for formatting or technical purposes), distribute, and otherwise use your Member Content as necessary to operate, improve, market, and provide the Services;
  • Promote you, your business, and the Services, including in marketing materials and case studies, provided that we do not disclose confidential business information without your consent.

This license continues for as long as your Member Content is available on or through the Services and for a reasonable period thereafter to maintain backups and comply with legal obligations.

6.5 Your Responsibilities for Member Content
You represent and warrant that:

  • You have all necessary rights, licenses, and permissions to submit Member Content and grant the rights described above;
  • Your Member Content does not infringe, misappropriate, or violate the rights of any third party;
  • Your Member Content complies with these Terms and all applicable laws.

You are solely responsible for any Member Content you provide and for any consequences of providing or publishing such content.

6.6 Feedback
If you provide suggestions, ideas, or feedback about the Services (“Feedback”), you agree that:

  • We may use, copy, modify, and exploit your Feedback without restriction or compensation; and
  • Feedback is not your confidential information.

7. AI-Generated Content Disclaimer

7.1 AI Tools Description
The Services include access to:

  • An AI Video Builder powered by third-party machine learning tools (e.g., fal.ai or other vendors); and
  • AI-generated text capabilities for scripts, marketing copy, messages, and other content.

These AI features generate content based on your inputs, prompts, and other data.

7.2 No Guarantee of Accuracy or Suitability

  • AI-generated content may be inaccurate, incomplete, offensive, misleading, or not suitable for your intended purpose.
  • WeMillionaires does not guarantee the accuracy, reliability, legality, or fitness for any particular purpose of AI-generated content.
  • AI outputs may inadvertently resemble or conflict with third-party content. We do not promise uniqueness or non-infringement.

7.3 Your Responsibility for Use of AI Content

You acknowledge and agree that:

  • You are solely responsible for reviewing, editing, and approving any AI-generated content before using, publishing, or relying on it;
  • You must independently verify any facts, claims, or statements generated by AI, especially in regulated fields (such as financial, medical, legal, or tax advice);
  • Any decisions you make based on AI-generated content are at your own risk.

7.4 Compliance & Third-Party Rights
You must ensure that your use of AI-generated content:

  • Complies with all applicable laws and regulations;
  • Does not infringe or violate any third-party rights, including intellectual property and privacy rights;
  • Adheres to any platform policies where you publish such content (e.g., YouTube, social networks).

WeMillionaires is not responsible for claims arising from your use of AI-generated content.

8. Third-Party Services

8.1 Use of Third-Party Providers
WeMillionaires may integrate or rely on third-party services and providers to deliver the Services, including but not limited to:

  • Stripe or other payment processors for billing and payouts;
  • AI infrastructure providers (e.g., fal.ai or similar) for AI Video Builder and AI text features;
  • Video hosting platforms (e.g., YouTube, Vimeo);
  • Calendar, email, and communication tools;
  • Analytics and marketing tools.

8.2 Third-Party Terms & Privacy

  • Your use of third-party services may be subject to separate terms and privacy policies.
  • You are responsible for reviewing and complying with those third-party terms when using their services via our platform.
  • WeMillionaires is not responsible for third-party services, their content, or practices.

8.3 No Endorsement or Control

  • We do not control and are not responsible for third-party services, websites, or resources linked to or integrated with the Services.
  • Links and integrations are provided for convenience only and do not imply endorsement or responsibility.

8.4 Changes & Disruptions

  • Third-party services may change, suspend, or stop providing their services, which may affect the availability or functionality of parts of our Services.
  • WeMillionaires is not liable for any damages or losses arising from third-party service interruptions or changes.

9. MLM & Commission Structure

9.1 Overview of Compensation Structure
WeMillionaires may offer members the opportunity to:

  • Earn commissions on qualifying sales of memberships, courses, listings, or other products and services;
  • Participate in a multi-level marketing (MLM) structure or referral program that includes “upline” commissions.

Unless otherwise specified, qualifying sales may be allocated as follows:

  • 75% to the referring member or eligible participant;
  • 10% to the member’s upline (as defined in applicable program rules);
  • 15% to the platform (WeMillionaires).

9.2 Program Rules & Earnings Disclaimer

  • Your participation in any MLM, referral, or commission program is subject to additional written policies, compensation plans, and an Earnings Disclaimer we may provide.
  • Those documents are incorporated into these Terms and may be updated from time to time.
  • You must review and comply with all applicable program rules and the Earnings Disclaimer before participating.

9.3 No Guaranteed Earnings

  • We do not guarantee that you will earn any specific amount of income or profit through the Services or any MLM or commission program.
  • Your results depend on many factors, including your efforts, skills, business practices, market conditions, and compliance with our policies.

You must not:

  • Represent or imply that joining WeMillionaires guarantees income or financial success;
  • Make false, misleading, or unsubstantiated income claims.

9.4 Compliance with MLM Laws

  • You are responsible for ensuring that your participation in any MLM or commission program complies with the laws of your jurisdiction.
  • You must not use the platform to operate a pyramid scheme, Ponzi scheme, or similar unlawful structure.
  • If your jurisdiction restricts or prohibits MLM or referral-based compensation, you must not use those aspects of the Services.

9.5 Commission Eligibility & Payment

  • Eligibility for commissions may depend on your membership tier, account standing, and compliance with our policies.
  • We may require you to provide tax information, identity verification, and payment details before paying any commissions.
  • We may withhold, reverse, or offset commissions if we reasonably suspect fraud, policy violations, chargebacks, or errors.

9.6 Changes to Compensation Plan

  • We reserve the right to modify, suspend, or terminate any MLM, referral, or commission program, or to adjust commission rates and structures, at any time.
  • We will provide reasonable notice of material changes where practicable, but are not obligated to maintain any specific program or rate.

10. Termination

10.1 Termination by You

You may terminate your account and stop using the Services at any time by:

  • Cancelling your subscription in your account settings; and/or
  • Requesting account closure via email to info@wemillionaires.com.

Termination by you:

  • Takes effect at the end of your current billing period (for subscriptions);
  • Does not entitle you to a refund of fees already paid, unless required by law or expressly stated otherwise.

10.2 Termination or Suspension by Us

We may, in our sole discretion and without liability to you, suspend or terminate your access to the Services (in whole or in part), or your participation in any MLM or commission program, at any time, including if:

  • You violate these Terms or any applicable policy;
  • We suspect or detect fraud, abuse, or unlawful activity;
  • You fail to pay fees when due;
  • We are required to do so by law or a governmental authority;
  • Continuing to provide the Services is no longer commercially viable.

We will make reasonable efforts to notify you of termination or suspension, unless prohibited by law or if we reasonably believe it would create a risk of harm.

10.3 Effect of Termination

Upon termination:

  • Your right to access and use the Services will immediately cease;
  • We may delete or disable access to your account and Member Content, subject to any legal retention obligations;
  • Any unpaid amounts you owe to WeMillionaires will become immediately due;
  • Sections of these Terms that, by their nature, should survive termination (including Sections 5–7, 9, 11–16, and 18) will remain in full force and effect.

You are responsible for exporting or backing up your Member Content before termination, where such export tools are available. We are not obligated to maintain your content after termination.

11. Disclaimers

11.1 “AS IS” and “AS AVAILABLE”

The Services, including all content, tools, AI features, courses, and information, are provided “AS IS” and “AS AVAILABLE” with all faults and without warranties of any kind, whether express, implied, or statutory.

11.2 No Warranties

To the maximum extent permitted by law, WeMillionaires expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Warranties arising out of course of dealing, usage, or trade.

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free;
  • The Services will meet your requirements or expectations;
  • Any results obtained from using the Services will be accurate, reliable, or profitable;
  • Any defects or errors in the Services will be corrected.

11.3 No Professional Advice

The Services (including AI-generated content, courses, and member content) may include information about business, marketing, finance, or other topics. This information is for general informational and educational purposes only and does not constitute:

  • Legal advice;
  • Financial, investment, or tax advice;
  • Medical or professional advice of any kind.

You should consult appropriate licensed professionals before making decisions based on information from the Services.

11.4 Third-Party Content & Services

We are not responsible for:

  • The content, actions, or omissions of other members or third parties;
  • Third-party services, websites, or platforms linked to or integrated with the Services;
  • Any content generated, hosted, or displayed by third parties via the Services.

12. Limitation of Liability

12.1 Exclusion of Certain Damages

To the maximum extent permitted by law, in no event will WeMillionaires, its affiliates, officers, directors, employees, agents, or licensors be liable to you or any third party for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, business, opportunities, goodwill, or data;
  • Business interruption or cost of substitute services;

arising out of or related to your use of or inability to use the Services, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

12.2 Cap on Liability

To the maximum extent permitted by law, the total aggregate liability of WeMillionaires and its affiliates, officers, directors, employees, agents, and licensors for any and all claims arising out of or related to these Terms or the Services will not exceed:

  • The total amount of subscription and other fees you paid to WeMillionaires for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

If you have used the Services without paying any fees, our total liability will be limited to one hundred U.S. dollars (USD $100).

12.3 Basis of the Bargain

You acknowledge that:

  • The limitations of liability in this Section 12 are fundamental elements of the basis of the bargain between you and WeMillionaires; and
  • We would not be able to provide the Services without such limitations.

12.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties. In such jurisdictions, the limitations and exclusions in these Terms will apply to you to the fullest extent permitted by law.

13. Indemnification

13.1 Your Obligations

You agree to defend, indemnify, and hold harmless WeMillionaires, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of or access to the Services;
  • Your Member Content;
  • Your participation in any MLM, commission, or referral program;
  • Your violation of these Terms or any applicable law or regulation;
  • Your infringement or alleged infringement of any third-party rights (including intellectual property, privacy, or publicity rights);
  • Any disputes between you and any other member, customer, or third party.

13.2 Indemnification Procedure

We will:

  • Provide you with prompt written notice of any indemnifiable claim (provided that failure to give prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced);
  • Allow you to control the defense and settlement of the claim, provided that:
    • Any settlement fully and unconditionally releases WeMillionaires from all liability and does not impose any admission of wrongdoing or any non-monetary obligations on WeMillionaires without our prior written consent;
  • Have the right to participate in the defense at our own expense with counsel of our choice.

14. Governing Law & Forum

14.1 Governing Law

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the District of Columbia, United States of America, without regard to its conflict of law principles.

14.2 Forum Selection for Non-Arbitrable Matters

Subject to the arbitration requirements in Section 16, you agree that any legal action or proceeding that is not subject to arbitration and that arises out of or relates to these Terms or the Services will be brought exclusively in the courts located in the District of Columbia, USA, and you hereby:

  • Submit to the personal jurisdiction and venue of such courts; and
  • Waive any objection to such jurisdiction or venue, including based on inconvenient forum.

15. Geographic Restrictions

15.1 Restricted Jurisdictions

WeMillionaires does not offer the Services and will block signups from the following jurisdictions:

  • Cuba
  • Iran
  • North Korea
  • Syria
  • Russia
  • Belarus
  • Myanmar
  • Venezuela
  • Sudan

  • Afghanistan
  • Crimea region

15.2 Your Responsibility

You are responsible for:

  • Determining whether you may lawfully use the Services in your location;
  • Complying with all applicable export control, sanctions, and trade laws;
  • Not using the Services from, or on behalf of entities or individuals in, any Restricted Jurisdiction or any party on U.S. or other applicable sanctions lists.

We may block access, terminate accounts, or withhold payments if we believe that use of the Services violates applicable sanctions or export laws.

16. Dispute Resolution (Mandatory Arbitration; Class Action Waiver)

16.1 Informal Resolution

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”) informally by contacting us at info@wemillionaires.com and describing the nature of the Dispute. We will attempt to resolve the Dispute informally within 30 days.

16.2 Agreement to Arbitrate

If a Dispute is not resolved through informal negotiations within 30 days, you and WeMillionaires agree to resolve the Dispute exclusively through binding arbitration, except as provided in Section 16.6 below.

This arbitration agreement applies to all Disputes between you and WeMillionaires, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, that arise out of or relate to these Terms or the Services.

16.3 Arbitration Rules & Administration

  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (if applicable) or Commercial Arbitration Rules (if the Consumer Rules do not apply), as modified by these Terms.
  • The AAA Rules are available at www.adr.org or by calling AAA.
  • The arbitration will be conducted in the District of Columbia, USA, unless the parties agree otherwise.

16.4 Arbitrator’s Authority

  • The arbitrator will have exclusive authority to resolve all Disputes, including any question regarding the existence, scope, or enforceability of this arbitration agreement.
  • The arbitrator may grant any remedy available in court under law or in equity, including injunctive or declaratory relief, to the extent necessary to satisfy an individual claim.
  • The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.5 Class Action Waiver

To the fullest extent permitted by law, you and WeMillionaires agree that all Disputes will be resolved on an individual basis only, and not in a class, collective, consolidated, or representative action.

You and WeMillionaires further agree that:

  • No arbitration may be combined with another arbitration without the prior written consent of all parties; and
  • You will not participate in any class action or class-wide arbitration against WeMillionaires.

If a court or arbitrator determines that the class action waiver in this Section 16.5 is unenforceable as to a particular claim or request for relief, then that claim or request (and only that claim or request) must be severed from the arbitration and may be pursued in court, subject to Section 14 (Governing Law & Forum).

16.6 Exception – Small Claims Court & Injunctive Relief

  • You or WeMillionaires may bring a Dispute in a small claims court located in the District of Columbia if the claim qualifies under that court’s applicable rules.
  • Either party may seek temporary or preliminary injunctive relief in court to protect its confidential information, intellectual property rights, or to prevent irreparable harm, pending final resolution of the Dispute through arbitration.

16.7 Opt-Out of Arbitration

If you do not wish to be bound by this arbitration agreement, you must send a written notice of your decision to opt out to info@wemillionaires.com within 30 days after the date you first accept these Terms. Your notice must include:

  • Your full name;
  • The email address associated with your account;
  • A clear statement that you wish to opt out of the arbitration agreement.

If you opt out of arbitration, all Disputes will be resolved exclusively in the courts located in the District of Columbia, USA, as described in Section 14.

17. Changes to These Terms

17.1 Right to Modify

We may update or modify these Terms from time to time to reflect:

  • Changes in the Services;
  • Legal or regulatory requirements;
  • Security, technical, or business needs.

17.2 30-Day Notice for Material Changes

For material changes (including changes to subscription fees, arbitration provisions, or your core rights and obligations), we will provide at least 30 days’ advance notice by:

  • Posting the updated Terms on our website; and/or
  • Sending an email or in-app notification to you.

17.3 Your Acceptance of Changes

  • The updated Terms will be effective on the date indicated in the notice, which will be at least 30 days after we provide notice for material changes, unless a different effective date is required by law.
  • If you continue to access or use the Services after the updated Terms become effective, you are deemed to have accepted and agreed to the updated Terms.
  • If you do not agree with the updated Terms, you must stop using the Services and, if applicable, cancel your subscription before the new Terms take effect.
